2784865 REQUEST FOR PROPOSALS Starkville Oktibbeha Consolidated School District RFP Description: Sixteenth Section Land Management Services RFP Deadline: 10:00 a.m., June 30, 2021 General Information: The Starkville Oktibbeha Consolidated School District (“SOCSD”) is accepting proposals from vendors to provide services related to the management of the District’s Sixteenth Section and lieu land holdings. General Instructions: Proposals shall be typewritten. All corrections or erasures shall be initialed by the person signing the proposal. SOCSD reserves the right to reject any and/or all proposals and to waive informalities in proposals, and to select the proposal or proposals that, in the opinion of SOCSD, shall be the most qualified on the basis of price, financial responsibility, technology, legal responsibilities, scheduling flexibility, evidence of past successful performance and other relevant factors. Vendors should understand that after selection of the most qualified proposal or proposals, SOCSD may negotiate and enter into contracts with one or more of the persons or firms submitting proposals, and that such contracts may not necessarily be limited to the terms of the proposals submitted. All information submitted in response to this request for proposals is public after all proposals are opened on the appointed date and time. No work shall commence nor shall any payments be made until the vendor has provided adequate proof of insurance for the risks and in the amounts specified in this RFP. No telephone, telegraph, facsimile or electronically submitted proposal will be accepted. A vendor’s proposal, including compensation terms, shall be placed in a sealed envelope and delivered to SOCSD. The envelope shall be clearly marked on the outside: 2784865 “Sealed Proposal RFP Sixteenth Section Land Manager Submitted By _______________________ (name of vendor).” Responsibility for timely submittal lies solely with the vendor. Proposals submitted after 10:00 a.m., June 30, 2021, will not be considered. Minority businesses will be afforded full opportunity to submit proposals in response to this request and will not be discriminated against on any grounds. Proposals should be returned in sealed envelopes as described above to: Dr. Eddie Peasant, Superintendent Starkville Oktibbeha Consolidated School District 401 Greensboro Street Starkville, MS 39759 Scope of Services and Contract Terms: The Board of Trustees of the SOCSD has delineated functions and responsibilities in leasing, accounting for and managing Sixteenth Section and in lieu lands within the jurisdiction of the school district pursuant to Mississippi law. In order to fulfill these responsibilities more effectively, the Board desires to engage a third party to provide consultation and assistance to maximize revenue from leasing Sixteenth Section and in lieu public school trust funds for the benefit of SOCSD. The third party vendor shall provide Sixteenth Section land management services for SOCSD at the direction of SOCSD’s Board, Superintendent and/or their designees to effectively manage SOCSD’s Sixteenth Section and in lieu properties, including, but not limited to the following: 1. Providing an inventory of Sixteenth Section and in lieu property as requested by the Board or Superintendent, but at least on an annual basis; 2. Assisting in the leasing of Sixteenth Section and in lieu properties; 3. Assisting in the bid process for agricultural, hunting & fishing, oil, gas & mineral leases; 4. Providing land management services; 5. Providing revenue reports as requested by the Board or Superintendent, and/or their designees, but at least on an annual basis; 6. Providing incidental services such as appraisals, asset management, and liaison with the Mississippi Forestry Commission and Mississippi Secretary of State; 7. Preparation of annual reports; 8. Preparation of the revenue report for the State Auditor’s report. 2784865 The vendor will act for SOCSD in the negotiation and renegotiation of Sixteenth Section leases. In the course of this activity, the vendor will develop the general terms of lease transactions with prospective and existing lessees and will recommend such terms to SOCSD’s Board in the form of a lease to be approved by the SOCSD Board and Superintendent. The vendor shall maintain a database of the leasees and the lease terms. A contract will be awarded for a one (1) year term. Should the vendor fail to perform services to the reasonable satisfaction of SOCSD, written notice of such failure shall be given to the vendor. If vendor has not corrected such failure to the reasonable satisfaction of SOCSD within thirty (30) days after such notice is given, SOCSD may terminate the contract by giving vendor an additional thirty (30) days written notice. Unless provided otherwise by written agreement between SOCSD and the awarded vendor, this RFP shall be incorporated into the contract for Sixteenth Section land management and SOCSD shall order such services on a SOCSD purchase order. SOCSD shall not be required to enter into the vendor’s standard service agreement and the terms of this RFP shall be incorporated into SOCSD’s purchase order. There will be no changes, additions, deletions, modifications or amendments to the contract unless approved in writing by SOCSD. The vendor may not assign its contract with SOCSD as to any of its rights or duties thereunder without prior written consent of SOCSD. The vendor must provide and maintain the following insurance in the amounts prescribed: Coverage Limits of Liability Comprehensive General Liability $1,000,000 per occurrence In all such policies, SOCSD shall be named as an additional insured at no cost to SOCSD, and, prior to commencing work, the vendor shall provide SOCSD with copies of policy endorsements specifying that SOCSD is an additional insured. All policies shall include endorsements providing that the policy may not be terminated, cancelled or not renewed without at least thirty (30) days advance written notice to SOCSD. Vendor must agree to indemnify, defend and hold SOCSD harmless against any and all claims, damages, losses, liabilities, fees, fines, penalties, suits, proceedings and other expenses (including reasonable attorneys fees) arising out of or related to vendor’s conduct or actions related to its management of SOCSD’s Sixteenth Section and in lieu properties. Vendor has not paid or agreed to pay any other company or person any fee commission, percentage or brokerage fee related in any way to this RFP or any contract resulting therefrom. 2. Prices for the services bid in vendor’s proposal have been arrived at independently without consultation, communication or agreement with any competitor or other vendor. 3. Prices for the services set out in vendor’s proposal have not been knowingly disclosed directly or indirectly to any competitor or other vendor prior to the opening of the sealed proposals. 4. Vendor has made no attempt to induce any other company or person to submit or not to submit a proposal for the services requested in the RFP. 5. Neither Vendor nor any party acting through or under it will file or cause to be filed a lien of any kind against SOCSD or any property owned by SOCSD, and Vendor agrees to release any such lien that might be so filed.
